Terms of Sales and Delivery – online sale in FLEYE ApS Business to Business (BTB) Webshop

These terms of Sales and Delivery shall automatically apply to any agreement entered into by FLEYE ApS by customers placing orders and FLEYE accepting such in the FLEYE ApS BTB webshop. They shall precede any other terms and conditions of the customer. Only to the extent that the parties have made a specific written agreement hereof, other terms and conditions may apply.

Price

Means the price that the Buyer shall pay to FLEYE ApS for the Goods. The price stated in the webshop at the time of placing the order are considered as agreed between FLEYE ApS and the Buyer.

All prices in the webshop are exclusive of VAT. VAT will be added in the invoice to Danish domestic customers.

Customers outside Denmark, registered for VAT, will not be charged with VAT.

All prices are FOB to the premises notified by the Customer.

Payment

FLEYE ApS shall be entitled to invoice the Buyer before, on or at any time after delivery of the Goods. Invoices from FLEYE ApS will be made monthly and be payable within 20 calendar days.

If the Buyer or whom the Buyer may have appointed to take delivery on his behalf wrongfully fails to take delivery of the Goods, FLEYE ApS shall be entitled to invoice the Buyer for the Goods at any time after FLEYE has tendered delivery of the Goods.

Interest will be charged on all overdue accounts at a rate concurrent to the Danish Act on interest for overdue payments. Such interest will accrue from day to day and be payable both before and after any judgment. No payment may be withheld, nor any sums owing to the Buyer set off against any payment due hereunder without the consent of FLEYE ApS.

Delivery

Delivery of the Goods shall be made to the premises specified in the Buyer's order. Any dates quoted for delivery of the Goods are approximate only, and FLEYE ApS shall not be liable for any delay in delivery of the Goods howsoever caused. If the Goods are to be delivered in installments, each instalment shall constitute a separate Contract, and failure by FLEYE ApS to deliver any one or more of the installments shall not entitle the Buyer to treat the Contract as a whole as repudiated.

If FLEYE ApS fails to deliver the Goods for any reason other than any cause beyond FLEYE ApS’ reasonable control or the Buyer's fault, whereby FLEYE ApS becomes liable to the Buyer, FLEYE ApS’ liability shall be limited to the excess (if any) of the cost to the Buyer (in the cheapest available market) of similar goods to replace those not delivered over the price of the Goods.

Inspection by Customer

The Customer must immediately on receipt inspect the Goods carefully for defects in quality and/or quantity. If the Goods are considered damaged or not consistent with the order placed, a written complaint must be sent to FLEYE ApS immediately by e-mail, fax or letter.

Return of Goods

Faulty or non-contractual goods may be returned.

Reservation of title

The Goods shall remain the sole and absolute property of FLEYE ApS as legal and equitable owner until such time as the Buyer shall have paid to FLEYE ApS in full.

Transfer of risk

Risk of damage to or loss of the Goods shall pass to the Buyer i) at the time of delivery to the Buyer or to whom he may have appointed to take delivery on his behalf, ii) at the time when FLEYE has tendered delivery of the Goods, or iii) at the time when the Goods are so collected by the Buyer.

Any claims by the Buyer that are based on any defect in the quality or condition of the Goods on delivery shall be notified to FLEYE within 7 calendar days from the time of delivery. If delivery is not refused, and the Buyer does not notify FLEYE accordingly, the Buyer shall not be entitled to reject the Goods or to make any claim in respect of any damages. FLEYE shall not be liable to the Buyer for any indirect, special or consequential loss or damage (whether for loss of profit or otherwise), costs, expenses, or other claims for consequential compensation whatsoever.

FLEYE does not assume any liability if the invoiced price for the Goods in question has not been paid in full.

Product liability

In case a product supplied by FLEYE ApS causes damage or injury to persons or things, FLEYE ApS shall only be liable if it is proved by the Customer that the damage or injury was caused by any defects or negligence on the part of FLEYE ApS.

The laws of Denmark shall govern the Contract and the place of venue shall be the Maritime and Commercial Court in Copenhagen, Denmark.

1. Your personal data, which are necessary to use our offers and to issue invoices (use data) will also exclusively be used for the handling of the sales contracts concluded between us. Such use data are in particular the characteristics to identify you as a user, information on the beginning, end, and scope of the respective use and data on the telemedia used by you as a user.
